This document details the Terms and Conditions for Alga (ALGA SMART EXPENSES LTD.)
These terms and conditions of sales (the “Terms and Conditions”) are entered into between ALGA SMART EXPENSES LTD. with the registered address in 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom and the client which is a legal entity or an organisational unit of a legal entity that subscribes to Alga’s services under the Terms and Conditions (the “Client”), hereunder referred to as the Parties (a Party).
All terms defined below as follows:
T&C: the current Terms of Conditions document.
Services: Alga’s services, software, updates, upgrades and corrections delivered by Alga, maintenance and support services products, and web site.
Client: a legal entity or an organisational unit of a legal entity that subscribes to Alga’s services under the T&C.
User: a natural person authorized by the Client to use Alga’s Services.
Data: means any data from the Client database which can be accessed only by Users.
Personal Data: any information which directly or indirectly identifies any individual, including by reference to an identifier, such as, without limitation, the name, address, email address, phone number, identification number or an identifier.
2. Acceptance of Terms and Conditions
Before using our Services, the Client must accept the Terms, and you may not use the Services if you do not accept these Terms.
When the Client or the User starts using our Services, Alga will assume that
the Client has accepted the T&C. Once the Client uses our Services you are bound by the T&C until you terminate your relationship with Alga.
3. Provision of Services
Alga shall provide and perform any and all of the Services to the Client.
Alga may change its Services or add new features in the future. By agreeing to the T&C, you acknowledge and agree that the form and nature of the Services may change without prior notice to the Client.
The Client acknowledges and agrees that Alga may suspend or discontinue, without prior notice to you and at the sole discretion of Alga, some or all of its Services, making the Services unavailable to you or other users.
You are not required to inform Alga if you stop using the Services, and may stop using the Services at any time.
You acknowledge and agree that if Alga disables access to your account, you may not be able to use the Services or access your account details, or any other content that may be contained in your account.
Alga may remove any Data or user accounts at any time and for any reason at the sole discretion of Alga.
You acknowledge that you will manually check the accuracy and correctness of the data provided by Alga before using this data.
4. Use of the Services by the Client
You agree to use the Services only for purposes that are permitted both by the T&C and by any applicable law, regulation, or generally accepted practices or guidelines in relevant jurisdictions.
You agree to only access (or try to access) and use the Services through interfaces provided by Alga. You shall not access (or try to access) and use any of the Services through any automated means, including, but not limited to, scripts, robots, or web crawlers.
The Client agrees not to use or attempt to use another user’s account.
You shall not upload, transmit, store, or otherwise make available content that contains software viruses or any other computer code, files, or programs that could interrupt, destroy or limit the functionality of the computer software or hardware or telecommunications equipment of Alga, its users or its partners.
You shall not upload post, transmit, store, or otherwise make available content that is pornographic or otherwise explicit in nature.
Alga reserves the right to remove any and all explicit content at its sole discretion.
You agree not to reproduce, copy, sell, trade, or resell all or any part of the Service for any purpose.
You agree that you are solely responsible for any breach of your obligations under the T&C and for the consequences of any such breach.
Alga has no responsibility to you or to any third party for such breaches or the consequences of such breaches (including losses or damage that Alga may incur).
You agree to be responsible for keeping your passwords associated with your Alga account secret and secure. Alga may be able to help you retrieve lost passwords.
You agree that you will be solely responsible for all activities that occur under your account, whether you are aware of them or not.
If you become aware of any unauthorised use of your password or account, you agree to notify Alga via e-mail (firstname.lastname@example.org) as soon as possible.
5. Your Account
Alga may change the fees and charges in effect, or add new fees and charges from time to time, but you will be notified in advance if regular charges increase and will be required to opt-in to new pricing. You may cancel your account at any time by sending an e-mail requesting account cancellation to email@example.com
You may cancel your Alga account at any time and your recurring billing schedule will be ended at the defined period. You are responsible for charges already incurred up until your cancellation, including the pre-payment of the current month of service you have.
Alga takes security very seriously and takes measures to protects your data.
You acknowledge that Alga service is provided “as is” and may not meet your expectations or requirements. In the extremely rare event that this should happen, Alga accepts no liability for any loss, damage, or inconvenience resulting from your use of the Services.
7. Proprietary Rights
All intellectual and industrial property rights as well as all information contained on the Website (such as texts, images, graphics, source code, drawings, designs, browsing structure, databases, trademarks, commercial brands and names, logos, distinct marks, domain names and social profiles, trade secrets and know-how, commercial names and brands, copyrights, rights similar or related to copyrights, patents, utility models, industrial models and any other content that may appear in it, regardless of whether they have been registered or not) is of the exclusive property or licensed to Alga or other Alga associated parties.
These T&C do not assign any industrial or intellectual property right of any of the Website contents and the reproduction, transformation, distribution, public communication, availability, reuse, forwarding or use of any nature, by any means or proceedings, is prohibited, except when it is permitted by law or expressly authorized in writing by Alga and/or by the intellectual property rights owner.
You acknowledge and agree that some or all of the Content may be classified as confidential by Alga and that you shall not disclose such information without expressed, written consent from Alga.
You shall not duplicate, change, create a derivative work of, reverse engineer, decompile, or attempt to obtain the source code of Alga’s software (in whole or in part).
8. Terminating Your Relationship with Alga
Terms will continue to apply until the Client or Alga terminates the relationship as explained below.
Alga may terminate its legal agreement with you under several circumstances:
- If you have not adhered to any or all of the provisions in the T&C. The decision of whether or not you intend to or are unable to comply will be solely at the discretion of Alga.
- If Alga is required to by law.
- If the Service is no longer commercially viable for Alga.
When the relationship between the Client and Alga ends, all the legal rights, obligations and liabilities enumerated in the Terms shall be unaffected by the cessation.
9. Limitation of Liability
Alga shall not be liable or responsible for any changes Alga makes to its Service, for any permanent or temporary restrictions or cessations of the Service, or for any harm this may cause you.
Alga shall not be liable or responsible for the deletion of, corruption of, or failure to store any Content or other data used in or maintained by the Services and you are advised to maintain your own records and copies of Content.
Alga shall not be liable or responsible for your failure to keep your password and account information secure.
10. Governing Law and Jurisdiction
If it is decided in a court of law that one or several of the T&C (or any part of the T&C) are in violation of the law, those terms will be changed or deleted as appropriate, but the others will remain as unmodified T&C.
Unauthorised use of the Services may give rise to a claim for damages and/or be a criminal offence.
You agree to use all reasonable endeavours to resolve any dispute in relation to the Services, including speaking to us and trying to resolve the matter, our contact details are on the Alga website, before issuing any legal proceedings.
This notice will be governed by and construed in accordance with English law, and any disputes relating to this notice shall be subject to the exclusive jurisdiction of the courts of England.
